XTcloud Terms of Service

Please read these terms carefully before registering for, purchasing, accessing, or using the relevant XTcloud technical services. Continued use of the service means that you have read, understood, and agreed to be bound by these terms.

Dispute Handling Subject to applicable law

In these terms, "XTcloud" refers to both the relevant services and their actual operator, which may be an individual proprietor, team, institution, or other organization. If you use the services on behalf of a company, institution, financial organization, team, or other entity, you represent and warrant that you have the authority to bind such entity to these terms, and that both the entity and its authorized users will comply with them.

Scope and Nature of the Services

  1. XTcloud provides network transmission optimization, route scheduling, node forwarding, dedicated connectivity, technical support, and related services based on its product capabilities, commercial arrangements, and operational resources. Specific service details are governed by the applicable order page, control panel description, product documentation, quotation, and any separate written agreement between the parties.
  2. The services are technical services intended only for lawful, proper, and duly authorized business scenarios. The services do not constitute, and must not be understood as, an offering of illegal proxy access, circumvention tools, public VPN services, relay services, or any other service intended to bypass applicable regulatory requirements for open Internet access.
  3. Availability, suitability, and performance of the services in any particular network environment, industry use case, trading environment, financial system, device, protocol, or third-party platform may be affected by applicable laws, regulatory requirements, upstream resource constraints, network conditions, and technical limitations. XTcloud does not guarantee that every scenario can be connected, remain continuously available, or achieve your expected outcome.

Eligibility and Preconditions for Use

  1. You must have full legal capacity to enter into and perform these terms, or you must have obtained sufficient authorization from your guardian, employer, principal, or other competent party.
  2. If you use the services for enterprise, institutional, or financial-related purposes, you represent and warrant that you have obtained all necessary internal approvals, external authorizations, and compliance clearances, and that your use complies with applicable laws, regulations, industry rules, regulatory requirements, and internal policies.
  3. Where required by applicable law, regulation, industry rule, upstream supplier requirement, or XTcloud's risk-control policies, you must cooperate in a timely, truthful, complete, and ongoing manner with identity verification, real-name verification, entity verification, use-case verification, device verification, and requests for supplemental documentation.

Account Registration, Management, and Security

  1. You may be required to register an XTcloud account and bind a valid email address, phone number, or other identifying information before using the services. All account information must remain true, accurate, complete, and up to date.
  2. You may not impersonate another person, use unauthorized credentials, lend, sell, transfer, share, or otherwise permit unauthorized third parties to use your account, nor may you engage in false registration, bulk registration, or circumvention of risk-control measures.
  3. You are responsible for safeguarding your username, password, verification codes, keys, tokens, and other authentication credentials, and for activities conducted through your account, except to the extent liability must be borne by XTcloud under applicable law.
  4. If you discover credential leakage, unauthorized use, abnormal login activity, or any other security risk affecting your account, you must promptly notify XTcloud and take necessary protective measures such as changing your password or disabling keys. Losses caused by your improper credential management, improper authorization, or delayed notice will be your responsibility.
  5. XTcloud may adjust account opening requirements, access permissions, registration methods, and authentication procedures based on security, compliance, operational, or risk-control needs.

Orders, Fees, Trials, and Refunds

  1. The service model, configuration, pricing, billing method, settlement cycle, bandwidth, traffic, node quantity, line type, delivery scope, and support scope are governed by the then-current product page, order page, quotation, billing rules, or any written agreement between the parties.
  2. If XTcloud offers trials, demos, test nodes, or evaluation packages, such resources are provided only for compatibility testing and basic service evaluation. They do not constitute a guarantee regarding production performance, peak throughput, latency, business results, or any particular outcome.
  3. Unless otherwise required by applicable law, expressly agreed by the parties, or caused by XTcloud's failure to provide the ordered service, fees for services that have already been activated, delivered, consumed, or reserved are generally non-refundable. Whether a refund is available and how it is processed will be determined in accordance with applicable law, the applicable order terms, and XTcloud's then-current policy.
  4. Speed tests, latency, packet loss, jitter, route quality, connection success rates, throughput, stability, and compatibility may be affected by carrier routes, local network conditions, third-party platform restrictions, endpoint environments, application protocols, and usage patterns. Any such metrics are for reference only and do not constitute a service-level guarantee or performance commitment.
  5. If you dispute any charge, invoice, or deduction, you must raise the dispute within 7 calendar days after the relevant invoice is issued or the relevant charge occurs, unless applicable law provides otherwise.

Your Compliance Commitments

During your use of the services, you agree that:

  1. You will use the services only for lawful, proper, necessary, and duly authorized business purposes.
  2. You will not violate applicable laws or regulations relating to telecommunications, cybersecurity, data security, personal information protection, cross-border data transfers, export controls, anti-money laundering, counter-terrorist financing, intellectual property, anti-unfair competition, or any other applicable legal or regulatory requirement.
  3. You have all necessary rights, licenses, authorizations, or permissions for the data, content, interfaces, accounts, systems, and devices that you transmit, process, store, synchronize, accelerate, relay, or access through the services.
  4. You will not use the services to access, control, transmit to, synchronize with, test, or operate any financial core system, trading system, payment or clearing system, customer information system, account control system, market data system, disaster recovery system, operations platform, or any other regulated system without proper authorization.
  5. For any banking, securities, futures, fund, insurance, payment, credit reporting, clearing, asset management, quantitative trading, market data, transaction, settlement, anti-money laundering, risk-control, customer-data, or other financial-related scenario, you are solely responsible for obtaining and maintaining all required internal approvals, regulatory filings, data-compliance measures, log retention, cybersecurity controls, classified protection measures, encryption controls, and any other required safeguards.
  6. For any personal information, sensitive personal information, important data, trade secrets, or other protected information involved in your use of the services, you are solely responsible for ensuring that collection, use, transmission, cross-border transfer, storage, and disclosure have a valid legal basis and all required procedures have been completed.

Prohibited Conduct

You may not use the services to:

  1. Establish, operate, distribute, resell, share, or facilitate any unlawful cross-border proxy service, circumvention service, public VPN, relay network, anonymous access service, public transit service, or any service intended to evade network-management requirements.
  2. Access, connect to, control, scan, probe, penetrate, interfere with, damage, alter, or test any third-party network, system, interface, device, account, or data without authorization.
  3. Transmit, store, publish, or facilitate the distribution of any illegal or unlawful content, including content that endangers national security, discloses state secrets, incites subversion, promotes terrorism, contains obscene material, facilitates gambling, fraud, money laundering, false advertising, infringement, or otherwise violates applicable law.
  4. Engage in malware deployment, ransomware, mining, DDoS, CC attacks, phishing, credential stuffing, brute-force activity, spam, abusive scraping, black-hat or gray-hat traffic generation, fraudulent marketing, traffic inflation, arbitrage abuse, or any activity that harms network security or platform order.
  5. Circumvent XTcloud's or its upstream suppliers' monitoring, billing, throttling, quota, audit, risk-control, or security mechanisms.
  6. Conduct unlicensed securities, futures, fund, payment, or other financial business through the services, or provide unauthorized financial connectivity, order-routing, account-control, or transaction-assistance capabilities to any third party.
  7. Otherwise infringe or harm the lawful rights and interests of XTcloud, its upstream suppliers, its partners, or any third party.

Data, Logs, and Privacy

  1. XTcloud values privacy and data protection and will process relevant personal information in accordance with applicable law and its Privacy Policy. In the event of any inconsistency between these terms and the Privacy Policy with respect to personal information processing, the Privacy Policy will control.
  2. To provide the services, maintain security, fulfill legal obligations, and handle disputes, XTcloud may collect and retain necessary account information, contact details, verification information, order records, service configurations, device identifiers, connection logs, operation logs, billing records, support tickets, and security incident records.
  3. XTcloud may disclose, retain, or cooperate in providing relevant information where required by law, regulation, competent authorities, courts, law enforcement agencies, public-safety needs, dispute resolution, or where necessary to protect the lawful rights and interests of XTcloud, users, or third parties.
  4. Due to the nature of network transmission optimization services, XTcloud may not be able to determine whether your business data includes personal information, important data, financial-sensitive information, or other regulated content. Accordingly, you remain primarily responsible for identification, classification, authorization, masking, encryption, transfer assessment, and compliance with data-minimization principles.

Monitoring, Risk Control, Suspension, and Termination

  1. To maintain platform security, service stability, and regulatory compliance, XTcloud may, to the extent permitted by law, identify, review, restrict, block, or otherwise handle abnormal traffic, abnormal connections, abusive conduct, security incidents, complaints, regulatory risks, or other suspicious circumstances.
  2. XTcloud may throttle, suspend, disconnect, freeze accounts, remove resources, delete configurations, terminate services, refuse renewal, or pursue liability where:
    • You breach these terms, product rules, order terms, or applicable law.
    • The identity, use-case, or business information you provide is false, incomplete, or no longer valid.
    • Your business causes complaints, investigations, blocking, penalties, claims, or other risks for XTcloud, its upstream suppliers, carriers, partners, or third parties.
    • Applicable laws, regulatory requirements, court or enforcement demands, or upstream policies change.
    • A serious security risk, abusive traffic, attack pattern, resource abuse, or other emergency arises.
  3. In urgent situations, XTcloud may take protective action first and notify you afterwards where appropriate. To the extent permitted by law, XTcloud will not be liable beyond its statutory or contractual obligations for interruptions, inaccessibility, or business impact caused by lawful enforcement, emergency risk-control actions, or compliance with regulatory demands.

Disclaimers and Limitation of Liability

  1. The services are provided based on then-available technical conditions, network resources, and operational capabilities. Except as expressly required by law or expressly agreed in writing, XTcloud makes no express or implied warranty that the services will be uninterrupted, absolutely secure, absolutely stable, fully compatible, fit for a particular purpose, or achieve any specific business result.
  2. To the maximum extent permitted by law, XTcloud will not be liable for service interruption, degradation, delay, failed connectivity, business loss, or other impact caused by matters beyond its reasonable control, including:
    • Carrier-line issues, international or cross-border link issues, data center failures, cloud-resource failures, DNS failures, BGP routing issues, infrastructure failures, or third-party platform failures.
    • Congestion, Internet backbone abnormalities, DDoS attacks, malicious traffic, or force majeure.
    • Changes in law or policy, regulatory measures, administrative orders, upstream restrictions, or governmental requirements.
    • Your own devices, software, local network environment, configuration errors, leaked keys, protocol incompatibility, or unauthorized access attempts.
    • Data loss, leakage, tampering, or business interruption not caused by XTcloud.
  3. You will indemnify and hold harmless XTcloud, its affiliates, personnel, partners, and upstream suppliers from and against any claims, penalties, investigations, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and evidence-preservation costs) arising out of or related to your unlawful conduct, breach of these terms, unauthorized access, improper data handling, failure to satisfy financial or data-compliance obligations, or infringement of third-party rights.
  4. To the maximum extent permitted by law, XTcloud's aggregate liability arising out of or relating to the relevant service will not exceed the total fees actually paid by you to XTcloud for that service during the 3 consecutive months immediately preceding the event giving rise to the claim, except for liability arising from XTcloud's willful misconduct, gross negligence, or other liability that cannot be limited or excluded under applicable law.
  5. XTcloud will not be liable for indirect, incidental, consequential, exemplary, or special damages, including lost profits, loss of opportunity, loss of expected revenue, trading losses, reputational losses, or indirect third-party claims, except to the extent such exclusion is prohibited by applicable law.

Changes, Assignment, and Notices

  1. XTcloud may update these terms, product rules, billing rules, service descriptions, and related policies as needed due to changes in law, regulation, product features, operational arrangements, or risk-control requirements.
  2. Where a change materially affects your important rights or obligations, XTcloud will provide notice through a website announcement, in-product notice, email, control-panel message, or another reasonable method. Your continued use of the services after the effective date of the change constitutes acceptance of the updated terms. If you do not agree, you must stop using the affected services.
  3. You may not assign or transfer any of your rights or obligations under these terms without XTcloud's prior written consent.

Applicable Law and Dispute Resolution

  1. The formation, validity, interpretation, performance, and dispute resolution of these terms are subject to applicable law. Any mandatory legal requirements remain unaffected.
  2. Any dispute arising out of or relating to these terms should first be resolved through friendly consultation. If consultation fails, either party may proceed before a court of competent jurisdiction under applicable law, or submit the dispute to arbitration if separately agreed by the parties.

Miscellaneous

  1. Section headings are for convenience only and do not affect interpretation.
  2. If any provision of these terms is held invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.
  3. These terms do not constitute any promise, assurance, endorsement, or guarantee by XTcloud with respect to legal compliance, regulatory approval, financial licensing, data-export clearance, network-access qualification, or other industry permissions. You remain solely responsible for making your own compliance determinations.
